Bank Assistant - Terms of Service

Welcome to the beta test for Bank Assistant! We're excited to have you on board to help us shape the future of small business bookkeeping. These Terms of Service ("Terms") govern your access to and use of our beta service. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

Section 1: The Service: A Beta for Evaluation

• Bank Assistant ("we", "us", "our") provides an AI-powered bookkeeping assistance service (the "Service").
• Beta Version: You acknowledge that the Service is a pre-release, beta version. It is provided for evaluation and testing purposes only. The Service may contain bugs, errors, and other problems. We do not guarantee that it will be reliable, accurate, or uninterrupted.
• Service Provided "AS IS": The Service is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, express or implied.
• Not Financial Advice: The outputs of the Service (such as "draft accounts") are for informational purposes only. They are not a substitute for professional accounting, tax, or financial advice. You are solely responsible for the accuracy of your financial records and any filings made with HMRC or other authorities.

Section 2: Eligibility

• To use the Service, you must be at least 18 years old and use it only for testing and familiarisation with the proposed service.

Section 3: Your Responsibilities

• Accurate Information: You agree to provide accurate information when you sign up and to keep your email address current.
• Your Content: You are responsible for all the data, documents, and information you upload or transmit to the Service ("User Content"). You represent that you have the necessary rights to use and share your User Content with us.
• Acceptable Use: You agree not to misuse the Service. For example, you must not:
  • Use the Service for any illegal purpose.
  • Upload malicious software or viruses.
  • Attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service.

Section 4: Fees and Payment

• Free Beta Period: The Service is provided to you free of charge during this Beta Phase.
• Future Pricing: We intend to introduce paid subscription plans for the Service after the beta period. We reserve the right to do so at our sole discretion.
• Notice of Changes: We will provide you with at least 30 days' notice via the email address associated with your account before any charges are introduced. At that time, you will have the choice to subscribe to a paid plan or to stop using the Service. You will not be charged automatically.

Section 5: Data Ownership and Intellectual Property

• You Own Your Data: You retain full ownership of your User Content (demo transaction data, receipts, etc.).
• Our License to Use Your Data: By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, process,store, and display your User Content solely for the purpose of providing, maintaining, and improving the Service for you.
• We Own Our Service: We retain all rights, title, and interest in and to the Service itself, including our software, AI models, branding, and all other intellectual property.

Section 6: Feedback

• We welcome your feedback, comments, and suggestions for improvements ("Feedback"). If you provide us with Feedback, you grant us the right to use, modify, and incorporate it into our Service without any obligation or compensation to you.

Section 7: Limitation of Liability

• Because the Service is a free, pre-release beta, our liability is strictly limited.
• TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL Bank Assistant, ITS AFFILIATES, OR THEIR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE.
• OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE BETA SERVICE IS LIMITED TO £10 (ten pounds sterling).

Section 8: Termination

• By You: You can stop using the Service at any time.
• By Us: We may suspend or terminate your access to the Service at any time, with or without cause or notice, particularly if you breach these Terms. We may also decide to discontinue the beta program at any time.

Section 9: Changes to These Terms

• We may revise these Terms from time to time. We will notify you of any material changes by sending an email to the address you provided. By continuing to use the Service after those changes become effective, you agree to be bound by the revised Terms.

Section 10: Governing Law

• These Terms shall be governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
